1. Purpose

This Agreement establishes the terms under which Jabez Grace CloudTech Solutions Ltd will provide professional consultation and project management services encompassing:

• AWS, Microsoft Azure, and Google Cloud Solutions
• AI & Machine Learning Services
• Cyber Security Services
• Digital Marketing Consultancy
• Agile Project Management

2. Scope of Services

The Consultant shall perform services described in the attached Statement of Work (SOW) as Schedule A.

3. Term and Duration

Commences on [Start Date] and ends on [End Date], unless terminated earlier as per Clause 9.

4. Fees and Payment

The total consulting fee is £[Amount]. Payment terms: 50% upon signing, 50% upon completion. Balance due within 7 days of invoice. Late fees: 5% monthly surcharge.

5. Confidentiality

All proprietary or confidential information shared during this engagement shall remain confidential and survive termination.

6. Intellectual Property

Deliverables become Client property upon full payment. The Consultant retains non‑confidential frameworks and methodologies.

7. Data Protection

Consultant complies with the UK Data Protection Act 2018 and GDPR in all data handling.

8. Warranties

• Consultant is legally registered in England & Wales (No. 15878603).
• Employs skilled professionals experienced in cloud, AI, and cybersecurity.
• Will execute all services diligently and professionally.

9. Termination

Either party may terminate with 14 days’ written notice. Immediate termination for breach. All completed work remains payable.

10. Limitation of Liability

Total liability shall not exceed fees paid under this Agreement. Consultant is not liable for indirect or consequential loss.

11. Non‑Solicitation

Client agrees not to recruit Consultant’s personnel for 12 months following termination.

12. Governing Law

Governed by the laws of England and Wales. Subject to exclusive jurisdiction of its courts.

13. Entire Agreement

This document and attached SOW constitute the complete agreement between the parties.
